Are you a qualified company secretary looking for a new and exciting opportunity as a Senior Corporate Governance Advisor?
We have an excellent opportunity to join our high-performing Corporate Governance function as a Senior Corporate Governance Manager. In this pivotal role, you will act as a trusted advisor to the Board and related entities, working closely with the Head of Corporate Governance to deliver key accountabilities and provide high-quality corporate governance support that enables our boards to achieve their strategic goals.
This is an exciting time to join our Corporate Governance team. You will work directly with Directors and senior stakeholders across the business, contributing to the development of strong governance frameworks and advising on the wider business impacts. If you enjoy keeping on top of the evolving corporate governance and company secretarial landscape, shaping best practice, and offering insightful guidance, this could be the ideal next step for you.
A bit about the job:
The Corporate Governance function is a strategically important team within Aviva, responsible for delivering high-quality corporate governance and company secretarial support and advice across Aviva group boards and committees. As the Senior Corporate Governance Manager (reporting into the Head of Corporate Governance), you will play a key role in providing timely, best practice corporate governance advice, assurance, and company secretarial services.
Your responsibilities will include advising on Company Law, regulatory requirements, and relevant governance codes, such as Wates, as well as associated rules and guidelines. A critical aspect of the role is supporting, advising, and training directors to ensure they can effectively discharge their statutory duties. You will also ensure statutory records and filings – such as board appointments, share transactions, and overseas entity requirements – are accurate, compliant, and maintained at all times.
Skills and experience we’re looking for:
Strong experience delivering high-quality Corporate Governance Services, preferably within a FTSE100/250 organisation and ideally within the financial services industry/regulated environment. Fellow/Associate of the Chartered Governance Institute (FCG/ACG) or qualified lawyer.
Strong experience in Entity Management Database and support systems, preferably Diligent Entities.
Strong stakeholder management and engagement experience at all levels, particularly with executive and non-executive Board Directors of Group subsidiary companies.
Proven extensive minute writing experience (ideally within a regulated environment) and producing other governance documents to a high standard and accurately.
Self-motivated and highly organised with a proven track record of taking ownership and responsibility, with the ability to lead and coach more junior members of a team.
